These “Terms and Conditions” or “Agreement” constitute an agreement between Shopmanual2you (“the Website” or “we”) and you (“the User” or “you”). This Agreement sets forth the general terms and conditions for using Shopmanual2you, its products or services, and participating in any activities related to Shopmanual2you (“the Website” or “the Service”).

User Accounts and Memberships

If you create a user account on the website, you are responsible for maintaining the security of your account, and you are solely responsible for all activities that occur under your account or any other actions taken in connection with your account. You shall be solely responsible for the accuracy, quality, integrity, legality, reliability, and appropriateness of all Content submitted by you. In the event of offering a free trial of the service without charge, you may be required to pay for the service after the free trial period ends, not when you enter your billing details (which may be required prior to the commencement of the free trial). If the automatic renewal of a service you have selected is enabled, you will be automatically charged according to the terms you have selected. If we determine that your actions may carry a high risk, we may request you to provide a copy of a government-issued identification card with a photo or the latest bank statement for the credit or debit card used for the purchase.

We reserve the right to modify, suspend, or discontinue any products, services, prices of products or services, and activities related to Shopmanual2you at any time, and we reserve the right to refuse any order placed with us, at our sole discretion.

These limitations may also apply to orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change or cancel an order, we may attempt to notify you by contacting the email address and/or billing address/phone number provided at the time the order was made.

Refund Policy

Due to the nature of our website offering non-tangible, irrevocable goods that cannot be returned once accessed, we do not offer refunds on any products or services purchased on the website. Please read the service details thoroughly before making a purchase decision.

Efficient Work Time Guarantee

We offer services with an efficient work time guarantee of 99% uptime per month. In the event that we fail to maintain the guaranteed efficient work time for a particular month (as specified by us), you may contact us and request a credit refund of your service fees for that month. The credited amount can only be used towards purchasing additional products or services from us and does not include any applicable taxes. The efficient work time guarantee does not cover disruptions caused by (1) periodic maintenance or repairs that we may carry out (2) disruptions caused by you or your actions (3) minor electrical disruptions that do not significantly affect the core operation of the service (4) disruptions that occur beyond our control or for reasons that we cannot reasonably foresee (5) electrical disruptions related to environmental factors during certain programming.

Data Backup

We regularly perform backups of the website and its content and take reasonable measures to ensure that the backup data is complete and accurate. In the event of hardware failures or data loss, we will make best efforts to restore the backup data automatically to minimize the impact or downtime.

Connection to Other Websites

While this website may have connections to other websites, we do not endorse, co-sponsor, support, or have any affiliation or ownership with any other website linked, whether directly or indirectly, unless expressly specified here. We have no obligation to review or evaluate the business offerings, products, services, or content of any other person or entity or the websites themselves. However, liability, if any, for such damages, which shall include, but not be limited to, breach of contract, tort, warranty, misrepresentation, negligence, or any other cause of action, shall be limited to the amount paid by you to Shopmanual2you for the services in the one month preceding the event giving rise to such liability. Limitations and exclusions shall not apply to the extent prohibited by applicable law. The total liability of Shopmanual2you and its officers, directors, employees, agents, and authorized representatives for all damages, losses, and causes of action shall be limited to the amount paid by you to Shopmanual2you for the services.

The limitations and exclusions mentioned above shall not be enforceable if this remedy fails of its essential purpose or if it is deemed unenforceable for any reason. You acknowledge that this legal advice service must be considered in light of your organization’s internal characteristics and that you should seek legal advice from your own legal counsel within your own organization to ensure that the advice you receive is in line with your organization’s business practices.

Limitation of Liability

To the fullest extent permitted by applicable law, Shopmanual2you, its affiliates, officers, directors, employees, agents, and authorized representatives shall not be liable to any person for any damages arising out of or in connection with the following: (a) indirect, incidental, special, punitive, or consequential damages (including, but not limited to, damages for loss of profits, revenue, business, reputation, use of content, impact on business, business interruption, loss of anticipated savings, loss of business opportunity) even if Shopmanual2you has been advised of the possibility of such damages. However, liability, if any, for such damages, which shall include, but not be limited to, breach of contract, tort, warranty, misrepresentation, negligence, or any other cause of action, shall be limited to the amount paid by you to Shopmanual2you for the services in the one month preceding the event giving rise to such liability.

Damages Compensation

You agree to indemnify and hold Shopmanual2you, its affiliates, officers, directors, employees, agents, and authorized representatives harmless from and against any and all liabilities, losses, damages, expenses, including reasonable attorney’s fees, arising out of or in connection with any allegations, claims, actions, disputes, or proceedings, whether resulting from or related to your content, use of the services, participation in activities organized by Shopmanual2you, or any unauthorized actions by you.

Severability of Invalid Provisions

All rights and limitations contained in this agreement shall be applied and have binding effect only to the extent that such rights and limitations do not violate any applicable laws and are limited to the extent necessary so as not to render this agreement illegal, invalid, or unenforceable. If any provision or part thereof of this agreement is found to be illegal, invalid, or unenforceable by a court of competent jurisdiction, the remaining provisions or parts thereof shall remain in full force and effect.

Content and Posting

You shall not modify, reproduce, or copy any part of the website, combine any portion of the website with other works, whether in print or electronic form, or embed any portion of the website in another website by framing or any other method without explicit permission from Shopmanual2you. Such actions are strictly prohibited.

You shall not upload content that is defamatory, abusive, obscene, offensive, threatening, or otherwise objectionable under the law. You shall not infringe on the intellectual property rights of individuals or other companies. You shall not upload computer viruses or any code designed to disrupt, damage, or limit the functioning of computer software or hardware. Dispute Resolution

The interpretation, enforcement, and performance of this agreement and any disputes arising out of or in connection with this agreement shall be subject to the laws of the Kingdom of Thailand without regard to its conflict of laws principles and within the jurisdiction and venue of the courts of the Kingdom of Thailand, without regard to any legal conflicts and laws of the Kingdom of Thailand. You agree to submit any dispute arising from or in connection with this agreement to the exclusive jurisdiction and venue of the courts as mentioned above.

Transfer of Rights

You shall not transfer, sell, sublicense, assign, or otherwise transfer or delegate any of your rights or obligations, whether in whole or in part, without our prior consent. Our consent, if granted, shall be at our sole discretion and without any other conditions. Any such transfer or assignment shall be null and void and without effect. We have the freedom to transfer or assign any rights or obligations, whether in whole or in part, to any third party as part of a sale of assets, stock, or a significant portion of our business or in connection with a merger.

Modifications and Amendments

We reserve the right to modify or amend this agreement or any related policies of the website or services at any time. Such modifications or amendments shall be effective immediately upon their publication on the website. We will indicate the date of the last revision of the agreement below the agreement. Your continued use of the website after such modifications shall be deemed as your acceptance of the amended terms.

Acceptance of Agreement
